Note 3. Mr. Kriss was formerly the C.O.O. of Explorations Franchise Group, Inc. of Boca Raton, Florida (January 1993 – August 1994). Explorations is a 15,000 sq. ft. children’s fitness and entertainment center featuring proprietary playstructures, licensed characters, party rooms, an arcade, and a full-menu restaurant (total franchise investment $1 million), and from May 1993 through August 1994 sold twelve units with seven units operational. As the original developer of the concept for franchising, Mr. Kriss directed the company’s growth from October 1992, joining as its Chief Operating Officer in January 1993. He was primarily responsible for the management and supervision of single-unit franchise and multi-unit franchise sales and operations in addition to establishing the overall program direction. The company was sold to a NASDAQ-listed entertainment conglomerate and established franchising internationally.
Note 4. Among other technology companies, Fred developed a leading edge music portal and proprietary e-commerce publishing system for consumers, artists, recording studios, and record labels. The distribution model was designed to serve both the Business-to-Business and Business-to-Consumer segments and uniquely position the company in the digital audio (MP3) distribution marketplace. Mr. Kriss represented the company through its first round of capital ($3.2 million) and, within 9-months; the start-up had a pre-market third-party valuation of $137 million. The Company is most widely known for its SkinWerkz division – the developer of the initial “skins” (interchangeable graphic user interfaces) for Microsoft’s® Windows Media Player 7® – a contract negotiated by Mr. Kriss directly with Microsoft®. The company was also responsible for building DeskMod, the largest online community for skinning artists.
Under the direction of Mr. Kriss, the ByteAudio.com teams developed one of the first interactive CD-ROM applications for the music industry. The technology, now known as “Enhanced CD” was showcased on the Sibling Rivalry Album recorded by the Doobie Brothers and co-produced by Pyramid Records and ByteAudio.com and released on Rhino Records in 2000. The precursor to digital music distribution by the major record labels, Enhanced CD (sold in music stores) combined standard CD audio playback with computer-based direct Internet connectivity to information. For the first time, listeners using Windows Media Player 7® on their PC could play a 7-minute super-jam version of the Doobie Brothers’ smash hit “Long Train Runnin’ filmed live in Las Vegas in June 2000. This first-of-its-kind circular video played through the exclusive Doobie Brothers Audio/Video Skin. Listeners could access lyrics, merchandise, band photos, tour information, and other online information without opening the Doobie Brothers Website. ByteAudio.com worked with the Microsoft® music portal WindowsMedia.com® to promote the upcoming album release in a unique way. For promotional purposes, the Doobie Brothers skin, video, and select playlist were available online for FREE download and playback for 30-days preceding album release. Using the then-new Digital Rights Management (DRM) technology (now used to protect digital music from piracy), when the promotional period expired, the downloaded files would not play and users were prompted to purchase the album in stores (major label music was not available for online consumer sale in 2000).
